Terms of service

The French version of these terms is the legally binding version. In case of discrepancy between the French version and this translation, the French version prevails.
1. Purpose and acceptance
These terms of service (the "Terms") govern access to and use of the Vacarme application and its companion portal (the "Service"), published by Basecamp Labs SAS ("Basecamp Labs", "we"), a French simplified joint-stock company registered with the Trade and Companies Register of Montpellier under SIREN number 101 988 111, with its registered office at 18 rue du Bayle, 34000 Montpellier, France.
Vacarme is software that operates an artificial intelligence agent capable of browsing the web, publishing content, engaging with others, and carrying out research tasks on behalf of the user, across third-party platforms (social networks, forums, business directories, messaging) and by email.
Creating an account and/or using the Service constitutes full and unconditional acceptance of these Terms. If you do not accept these Terms, you must not use the Service.
2. Who can use Vacarme
The Service is open to adult individuals with legal capacity to contract, and to legal entities acting through a duly authorized representative. By creating an account, you warrant that you have the necessary legal capacity and, if acting on behalf of a company or organization, the authority to bind it to these Terms.
Vacarme is not designed for use by minors. We reserve the right to suspend any account we have reason to believe is being used by a minor.
3. Nature of the Service — a tool you direct
Vacarme is a software tool that you configure and direct. You choose the tasks the agent carries out, the platforms it operates on, the tone and content it produces on your behalf, and the accounts it uses. The agent acts exclusively based on the settings, instructions, and authorizations you give it, using the account credentials you entrust to it.
You are the author of the actions carried out by the agent on your behalf, in the same way as if you had performed them yourself using a tool. Basecamp Labs provides the software; you decide how it is used, task by task.
4. Your responsibility — content and actions
You are solely responsible for:
- content published, sent, or generated by the agent on your behalf (posts, comments, messages, emails);
- the accuracy, legality, and appropriateness of that content;
- compliance with the laws applicable to your activity and situation (advertising law, employment law, sector-specific regulation, protection of the personal data of your own contacts, etc.);
- the accounts and credentials you connect to the Service, and their use in accordance with the terms of the relevant platforms;
- any consequence — including the suspension, restriction, or closure of a third-party account, or any claim from a third party — resulting from your use of the Service.
Basecamp Labs does not, as a rule, review, moderate, or approve content generated or actions carried out by the agent before they are executed, except where you have explicitly enabled a manual-review mode in a task's settings.
5. Third-party platform terms
Vacarme runs on your own computer, in an embedded browser, using your own open sessions. The agent acts only on accounts you own, for tasks you configure and trigger yourself. Basecamp Labs does not host, operate, or drive any account on your behalf.
Each platform sets its own rules on the use of assistance or automation tools, and those rules differ from one platform to another and change over time. It is your responsibility to review the terms of service of each platform on which you use the Service, and to ensure your use complies with them.
By using Vacarme on these platforms, you acknowledge and agree that:
- you are solely responsible for complying with the terms of service of the platforms on which you use the Service;
- platforms may, at their sole discretion, restrict, suspend, or terminate your account, without notice;
- it is your responsibility to assess this risk before using the Service on a given platform, and to make an informed decision;
- Basecamp Labs is neither a party to your contractual relationship with these platforms, nor responsible for decisions they make regarding your account.
6. Creating third-party accounts and security checks
Some tasks offered by Vacarme include creating an account on a new third-party site, which may require solving a verification mechanism (such as a captcha) put in place by that site to confirm authorized human access. When the agent encounters such a verification, it pauses the task and hands control back to you: you resolve the verification yourself in the embedded browser, then confirm to resume. The agent does not continue until you have stepped in.
Each such task is initiated, configured, and triggered by you, for a site you designate. You are solely responsible for having legitimate authorization to create such an account and to use that site in accordance with its own terms of service.
7. Data of the people the agent contacts
When you configure the agent to contact, comment to, or message third parties (outreach, engagement), you become the controller, within the meaning of the General Data Protection Regulation (GDPR), for the processing of the personal data of those people, for the operations you initiate through the Service. It is your responsibility to have a lawful basis for that processing (for example, legitimate interest for reasonable B2B outreach) and to respect the rights of those individuals.
Basecamp Labs acts as a technical processor for the execution of these actions and has no direct relationship with those individuals. See our privacy policy for details on the processing involved.
8. Account and security
You are responsible for keeping your Vacarme credentials confidential and for any activity carried out from your account. You must notify us without delay at [email protected] of any unauthorized use of your account that you become aware of.
Credentials for the third-party accounts you connect to Vacarme (social networks, integration tools) are encrypted and stored locally on your machine; they are not transmitted to our servers. Technical details of this design are set out in our privacy policy.
9. Subscription and billing
Vacarme offers a free plan and paid subscription plans, whose features and pricing are presented in the application and on the website. Payments are processed by our payment provider (Stripe). Unless stated otherwise at the time of subscription, subscriptions automatically renew each period until cancelled by the user from their subscription management area.
If you are a consumer residing in the European Union, you have, for any purchase made remotely, a 14-day right of withdrawal under the conditions set out in the French Consumer Code, unless you have expressly requested and agreed that performance of the service begin before that period expires, in which case this right may not apply or may apply on a pro-rata basis reflecting the service already used.
10. Availability and evolution of the Service
Vacarme is currently in alpha. The Service may be subject to interruptions, bugs, or changes in behavior or features without notice. We strive to keep the Service available but do not guarantee uninterrupted or error-free operation.
We may modify, suspend, or discontinue all or part of the Service at any time, including for security, legal compliance, or feature-retirement reasons.
11. Warranties and limitation of liability
The Service is provided "as is." To the extent permitted by law, Basecamp Labs does not warrant that the Service, including content generated or actions carried out by the agent, will be error-free, fit for a particular purpose, or consistent in all circumstances with the user's expectations.
To the extent permitted by applicable law, Basecamp Labs' liability under these Terms is limited to direct and foreseeable damages resulting from a proven breach by Basecamp Labs of its own obligations, and capped at the total amount paid by the user for the Service in the twelve (12) months preceding the event giving rise to the damage. Basecamp Labs shall in no event be liable for indirect damages, business loss, loss of profits, goodwill, or data, nor for the consequences of a decision made by a third-party platform (suspension, ban, legal action) against the user.
This limitation does not apply in the event of gross or intentional misconduct by Basecamp Labs, nor where applicable law prohibits such a limitation. It does not deprive consumers of the rights guaranteed to them as a matter of mandatory law under the French Consumer Code.
12. Termination
You may delete your account at any time from your billing settings, or by contacting us at [email protected]. Account deletion cancels your subscription and erases your personal data under the conditions described in our privacy policy.
We may suspend or terminate your access to the Service, with or without notice, in the event of a serious or repeated breach of these Terms, fraudulent or unlawful use of the Service, or non-payment.
13. Changes to these Terms
We may amend these Terms, in particular to reflect changes to the Service, applicable regulations, or third-party platform terms. In the event of a material change, we will notify you (via in-app notification or email) and, where applicable, ask you to accept the updated Terms again before continuing to use the Service.
14. Governing law and disputes
These Terms are governed by French law. In the event of a dispute, and failing an amicable resolution, the French courts shall have exclusive jurisdiction, subject to mandatory jurisdiction rules applicable to consumers residing in the European Union, who retain the right to bring proceedings before the court of their place of residence.
